Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using TruckerFlow, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

TruckerFlow is a web-based platform designed for owner-operators, lease operators, and trucking professionals. The Service provides:

• Trip tracking and logging with origin, destination, miles, and revenue
• Expense tracking and categorization
• Receipt scanning using AI-powered optical character recognition
• Financial reports including profit and loss, expense breakdowns, and IFTA mileage
• Income projection calculators for monthly, annual, and per-load estimates
• Dashboard with customizable widgets displaying actual business metrics
• CSV import for bulk data entry
• Settlement slip scanning for carrier settlements

The Service is provided for informational and operational purposes. TruckerFlow is not a financial advisor, tax preparer, or legal counsel. See our Disclaimer for important limitations.

3. User Accounts

To use TruckerFlow, you must create an account by providing accurate and complete information, including a valid email address and secure password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or use
• Ensuring your contact information remains current and accurate

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent purposes.

4. Subscription Plans and Pricing

TruckerFlow offers the following paid subscription plans:

All plans include full access to all features. Prices are in US dollars and may be subject to applicable taxes. We reserve the right to change pricing with 30 days advance notice to existing subscribers.

5. Payment Terms

Payment is processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for the subscription fees. You represent that you are authorized to use the payment method provided.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. Monthly subscriptions renew every 30 days. Annual subscriptions renew every 365 days. You will be charged the then-current subscription rate at renewal.

If a payment fails, we may retry the charge and/or suspend your access until payment is successfully processed. You are responsible for ensuring your payment information is current.

6. Trial Period

New subscribers may start with a $5 trial month that provides full access to all features for 30 days. At the end of the trial period, your subscription will automatically convert to the monthly plan ($29/month) unless you cancel before the trial ends or select the annual plan.

The trial is intended for new users to evaluate the Service. Trial pricing is available once per user and may not be combined with other offers.

7. No Refunds Policy

Due to the nature of digital services and immediate access to all features upon payment, we do not offer refunds for any subscription payments, including:

• Trial period payments ($5)
• Monthly subscription payments
• Annual subscription payments
• Partial periods after cancellation
• Unused portions of any subscription

We encourage you to use the demo account to evaluate the Service before subscribing, or start with the $5 trial month to ensure the Service meets your needs.

8. Cancellation

You may cancel your subscription at any time through your account settings page. Upon cancellation:

• Your access continues until the end of your current billing period
• No further charges will be made after the current period ends
• No partial refunds are provided for unused time
• Your data remains accessible until your subscription expires
• After expiration, you may reactivate your subscription to regain access

To cancel, navigate to Settings > Account and click "Cancel Subscription." You will receive a confirmation email. If you cancel and later wish to reactivate, you may do so through your account settings.

9. Demo Account

TruckerFlow provides a demo account (demo@truckerflow.com) for prospective users to explore the Service before subscribing. The demo account:

• Contains pre-populated sample data representing a typical trucking operation
• Is read-only — you cannot add, edit, or delete data
• Provides full access to calculators (inputs are session-only, not saved)
• Does not require payment or registration
• Is shared among all visitors and should not contain personal information

The demo account is provided "as is" and may be reset or modified at any time. Sample data in the demo account is fictional and for demonstration purposes only.

10. Data Ownership

You retain full ownership of all data you input into TruckerFlow, including but not limited to trip records, expense entries, receipt images, and business settings ("Your Data"). We do not claim ownership of Your Data.

You may export Your Data at any time through the export features provided in the Service. Upon account deletion, we will delete Your Data in accordance with our Privacy Policy.

11. License Grant

By using the Service, you grant us a limited, non-exclusive, royalty-free license to process Your Data solely for the purpose of providing and improving the Service. This includes:

• Storing and backing up Your Data
• Processing receipt images through AI extraction
• Generating reports and calculations based on Your Data
• Providing customer support related to Your Data

This license terminates when you delete your account or Your Data.

12. Use Restrictions

You agree not to:

• Use the Service for any unlawful purpose or to violate any laws
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Share your account credentials with others
• Use the Service to compete with TruckerFlow
• Scrape, data mine, or extract data from the Service through automated means
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity
• Use the Service to store or transmit infringing or illegal content

13. Service Availability

We strive to maintain the Service with high availability, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Unscheduled maintenance to address critical issues
• Factors beyond our reasonable control (network outages, third-party services, etc.)

We are not liable for any damages resulting from Service unavailability or interruptions.

14. Service Modifications

We reserve the right to modify, update, or discontinue features of the Service at any time. While we aim to improve the Service, we do not guarantee that specific features will always be available. Material changes to core functionality will be communicated to active subscribers via email.

15. Account Termination

We may suspend or terminate your account immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• You fail to pay subscription fees when due
• You engage in fraudulent or illegal activity
• Your account is used in a manner that threatens the security or integrity of the Service
• Required by law enforcement or legal process

Upon termination, your right to use the Service ceases immediately. We may delete Your Data in accordance with our data retention policies. Provisions that by their nature should survive termination (such as limitation of liability) will remain in effect.

16. Limitation of Liability

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless TruckerFlow and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Your Data or content you provide through the Service

18. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of at least thirty (30) days.

If negotiation fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the English language in a location mutually agreed upon or remotely via video conference.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

20. Modification of Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
